These Terms of Use ("Terms") govern your access to and use of the website diremoney.co.com (the "Site"), our exchange and wallet platform (the "Platform"), and any associated services provided by DIRE MONEY TRANSMITTER LLC ("Dire Money," "we," "us," "our," or "Company"). By accessing or using our Site or Platform, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.
1. Acceptance of Terms
By accessing this Site and Platform, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. You represent and warrant that you are not located in, organized in, or resident of any jurisdiction that is subject to comprehensive US sanctions or otherwise prohibited from accessing our services. If you are using this Site on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Trading and Wallet Services
Dire Money provides regulated cryptocurrency exchange and software wallet services. You agree to use the Platform only for lawful purposes and in compliance with all applicable laws and regulations. You acknowledge that trading cryptocurrencies involves substantial risk of loss and that digital asset prices are highly volatile. Dire Money does not provide investment advice or recommendations and makes no representations regarding future price movements or profitability.
3. Account and Identity Verification
To access our trading and wallet services, you must complete Know Your Customer (KYC) verification and comply with all identity confirmation requirements. You represent that all information provided is accurate, current, and complete. You agree not to misrepresent your identity or use the Platform on behalf of others without authorization. Dire Money reserves the right to suspend or terminate accounts that fail verification or violate compliance requirements.
4. Asset Custody and Settlement
Assets held in your account are segregated and held in custody per regulatory standards. Settlement of trades occurs automatically according to the blockchain network confirmation times. Dire Money is not responsible for blockchain network delays, failed transactions, or network congestion. You acknowledge that once a transaction is broadcast to the blockchain, it cannot be reversed.
5. Fees and Charges
Dire Money may charge trading fees, custody fees, withdrawal fees, and other service fees as disclosed on the Platform. Fees are subject to change upon 30 days' notice. You are responsible for all applicable taxes related to your use of the Platform. Dire Money is not responsible for calculating or reporting your tax obligations.
6. Intellectual Property Rights
All content on this Site, including text, graphics, logos, images, software, and compilation thereof, is the exclusive property of Dire Money or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, or transmit any content without explicit written permission from Dire Money.
7. Disclaimer of Warranties
The Site and Platform are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. Dire Money does not warrant that the Platform will be uninterrupted, error-free, or secure, nor does it warrant the accuracy or completeness of information provided. Digital asset trading and custody involve inherent risks, including cybersecurity risks and market risks.
8. Limitation of Liability
To the maximum extent permitted by law, Dire Money shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost digital assets, arising from your use of or inability to use the Platform, even if advised of the possibility of such damages.
9. Indemnification
You agree to indemnify, defend, and hold harmless Dire Money and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.
10. Prohibited Activities
You agree not to: reproduce, distribute, or transmit any content without authorization; engage in unauthorized framing or linking; interfere with Platform operation; attempt to gain unauthorized access; use automated tools to scrape or harvest data; engage in market manipulation, money laundering, or financing of terrorism; or engage in any illegal or harmful activity.
9. Prohibited Conduct
You agree not to use the Site for: illegal activities or violations of regulations; harassment, abuse, or threats; spam or unsolicited communications; transmission of malware or harmful code; or any conduct that violates these Terms or applicable laws.
10. Account Security
If you create an account with Dire Money, you are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You agree to notify us immediately of any unauthorized access or security breach.
11. Payment and Billing
If you purchase services through our Site, you agree to pay all fees and charges incurred. You authorize Dire Money to charge your payment method for those fees. All prices are subject to change upon notice. Refund policies are detailed in your service agreement.
12. Modification of Terms
We reserve the right to modify these Terms at any time. Changes become effective when posted to the Site. Your continued use of the Site after modifications indicates your acceptance of the updated Terms. We recommend reviewing these Terms periodically.
13. Termination
Dire Money reserves the right to terminate or suspend your access to the Site, with or without notice, for violations of these Terms or for any reason in our sole discretion. Upon termination, your right to use the Site ceases immediately.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Washington State for any disputes.
15. Dispute Resolution
Any disputes arising from these Terms or your use of the Site shall first be addressed through good-faith negotiation. If resolution cannot be reached, disputes may be subject to binding arbitration in accordance with applicable Washington State law.

Your use of our services is subject to all applicable federal, state, and local laws and regulations. We comply with anti-money laundering (AML) and know-your-customer (KYC) requirements.
